Welcome to Sugar (sugar.dev), operated by Sumosmash UG (haftungsbeschränkt). These Terms of Service ("Terms") govern your use of our AI product development services. By engaging our services, you agree to be bound by these Terms.
Note: These Terms apply to business-to-business (B2B) transactions only. Consumer protection regulations (Widerrufsrecht) do not apply.
Sugar is operated by Sumosmash UG (haftungsbeschränkt), a company registered in Germany.
1. Service Description
Sugar provides rapid AI product development services, delivering functional AI-powered applications within approximately 2 weeks. Our services include:
- AI product strategy and consultation
- Full-stack development and implementation
- API integration and deployment
- Initial launch support and documentation
2. 2-Week Development Target
2.1 Timeline: Each MVP sprint runs for a fixed duration of 2 weeks (10 business days). The sprint start date is confirmed upon receipt of payment and is selected by Client from the available start dates offered by Agency (currently every Tuesday, or every second Tuesday depending on availability). The sprint schedule proceeds as planned once a start date is confirmed, regardless of Client responsiveness.
2.2 Scope Definition: The 2-week target applies to the agreed MVP scope documented in the project brief. Additional features or significant changes may extend the timeline.
2.3 Exclusive Slots: Agency undertakes only one MVP sprint at a time (maximum two per month). Client's upfront payment secures an exclusive slot in Agency's development schedule.
2.4 Client Responsibilities: Client shall provide all necessary information, content, access credentials, and feedback in a timely manner. Delays in fulfilling these duties may extend delivery timelines; Agency is not liable for delays caused by Client.
2.5 Acceptance Criteria: Each project includes one clear, measurable acceptance criterion defined in the Statement of Work (e.g., "working MVP that lets users register, log in, and post one item"). Deliverables are deemed accepted once the agreed acceptance criterion is met, or if Client does not provide a reasoned rejection within 5 business days of delivery.
2.6 Project Duration and Non-Response: Once a start date is confirmed, the sprint runs for 2 weeks (10 business days) and concludes on schedule. If Client does not provide required inputs or feedback during the sprint, Agency will proceed based on the information available. At the end of the sprint, the Deliverables produced shall be deemed completed and accepted if Client does not provide written rejection within 5 business days after delivery, and Agency's obligations under this Agreement fulfilled. Fees are non-refundable except as provided in the Refund Policy in §3.3.
3. Payment Terms
3.1 Pricing: Service fees are €9,800 for the standard 2-week MVP development package. All prices are quoted exclusive of statutory Value Added Tax (VAT), which will be added at the applicable rate.
3.2 Payment Terms: Client shall pay 100% of the project fee upfront. Work will not commence, nor will any delivery slot be confirmed, until full payment has been received.
3.3 Refund Policy: If Agency fails to deliver the MVP to the agreed acceptance criterion (after up to two reasonable revision attempts), Client may request a full refund. Refund requests must be made prior to acceptance. Once Deliverables are accepted, no refund is available.
3.4 Third-party Costs: Client is responsible for all third-party costs and subscriptions (e.g., hosting, APIs, SaaS licenses) required for the MVP, unless explicitly included in the Statement of Work.
3.5 Additional Services: Post-launch support, maintenance, and feature additions beyond the initial 30-day warranty are available at additional cost.
4. Intellectual Property
4.1 Ownership: Upon full payment, all custom code and deliverables created specifically for your project become your property.
4.2 Pre-existing IP: We retain ownership of our pre-existing tools, frameworks, and methodologies, granting you a license to use them within your delivered product.
4.3 Third-party Components: Your product may include open-source or third-party components subject to their respective licenses.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the engagement. This obligation survives termination of these Terms.
6. Warranties and Support
6.1 Our Warranties: We warrant that our services will be performed in a professional manner consistent with industry standards.
6.2 30-Day Warranty: Agency will remedy material defects within 30 days of delivery at no extra cost, provided they fall within the agreed scope.
6.3 Disclaimer: Services are provided "as is", except for the 30-day warranty above.
6.4 No Guarantee of Success: While we commit to delivering a functional product, we cannot guarantee specific business outcomes or market success.
7. Limitation of Liability
Agency has unlimited liability for intent, gross negligence, injury to life/body/health, and claims under the German Product Liability Act. For simple negligence, liability is limited to material contractual duties and typically foreseeable damages. All other liability is excluded to the extent legally permissible.
8. Termination
8.1 Termination by Client: Client may terminate at any time, but as work commences only after full upfront payment, termination does not entitle Client to a refund, except under the Refund Policy in §3.3.
8.2 Termination by Sugar: We may terminate if you materially breach these Terms, including failure to provide required information or feedback under §2.4.
9. Governing Law
These Terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Berlin, Germany.
10. Changes to Terms
We reserve the right to modify these Terms. Changes will be effective for new projects commenced after the modification date.
11. Data Protection
If Agency processes personal data on behalf of Client, the parties will conclude a Data Processing Agreement in accordance with Art. 28 GDPR. Unless otherwise agreed, Client remains the controller of such data.
12. Force Majeure
Neither party shall be liable for failure or delay caused by events beyond reasonable control (force majeure), including natural disasters, strikes, or outages of third-party platforms.
